These Terms and Conditions (Terms) govern access to and use of the Braintric website and the purchase of goods from Braintric Electrical And Automation Engineering Pty Ltd (Braintricweus or our) where these Terms are incorporated into the transaction. These Terms are intended to establish the legal framework for website use, ordering, contract formation, pricing, intellectual property, acceptable conduct, liability and dispute handling. They do not attempt to replace project-specific contractual terms that may be expressly agreed in writing for a particular transaction.

1. Acceptance of these Terms

By accessing or using our website, you agree to comply with the provisions of these Terms that apply to website use. By submitting an order to Braintric, you acknowledge that the order is subject to these Terms together with any specific product description, quotation, order confirmation or written term expressly accepted by Braintric for that transaction. If a specifically negotiated written term accepted by Braintric conflicts with these standard Terms, the specifically negotiated term prevails to the extent of the inconsistency. If you act on behalf of a company, trust, partnership, body corporate, government body or other organisation, you represent that you have authority to act for and bind that entity. You must have legal capacity to enter into the relevant transaction.

2. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, statutory right, remedy or liability that cannot lawfully be excluded, restricted or modified under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or any other applicable law. Where a provision of these Terms would otherwise conflict with a non-excludable statutory right, that statutory right prevails to the extent of the conflict.

3. Website information

Braintric takes reasonable care in preparing website content, including product descriptions, technical summaries, photographs, specifications and pricing information. However, website content may be updated from time to time and may not always reflect the most recent manufacturer specification, packaging, availability or product revision. Product images are illustrative unless expressly stated otherwise. Colours, dimensions, finishes and appearance may vary because of screen settings, manufacturing tolerances or supplier changes. Where compatibility, capacity, electrical loading, installation requirements, network conditions, environmental conditions or system design are material to a purchasing decision, the customer is responsible for ensuring that the selected product is suitable for the intended application or obtaining appropriate technical advice before purchase. General website information is not a site-specific electrical design, engineering assessment, compliance certification or safety instruction.

4. Product availability

Products displayed on the website are subject to availability. A product appearing online does not guarantee that stock is immediately available or reserved. Availability can change because of supplier stock levels, manufacturer discontinuation, demand, freight constraints, product substitution, technical verification or other circumstances. If Braintric cannot supply an ordered product, we may contact the customer to discuss a revised supply date, an alternative product or cancellation of the affected item. A materially different substitute will not be supplied without the customer’s agreement.

5. Orders and contract formation

Submitting an order is an offer by the customer to purchase the goods identified in that order on the terms presented at the time of submission. An automated acknowledgement, payment receipt or website confirmation that Braintric has received an order does not necessarily mean that the order has been accepted. whichever occurs first. Before acceptance, Braintric may decline an order for a legitimate reason, including product unavailability, supplier discontinuation, an obvious pricing or description error, suspected fraud, inability to verify required information, legal restrictions or inability to safely or lawfully supply the product. If Braintric declines an order after receiving payment and no amount is properly payable, the relevant payment will be refunded. Unless Braintric expressly states otherwise, a contract for the supply of goods is formed when Braintric:

  • issues an express acceptance of the order; or
  • dispatches the goods,

6. Order information and customer responsibility

Customers must provide complete and accurate information when placing an order, including contact, billing and delivery information where applicable. Braintric is not responsible for delay or additional cost caused by materially incorrect or incomplete information supplied by the customer to the extent the delay or cost results from that information. Customers should review order details carefully before submission and contact Braintric promptly if an error is identified.

7. Prices and GST

Unless otherwise stated, prices are expressed in Australian dollars (AUD). Where required by law, prices displayed to consumers include GST. Business quotations or commercial pricing may identify GST separately where this is clearly stated. Mandatory charges that can reasonably be calculated before purchase will be disclosed before the customer commits to the transaction. Braintric may correct a genuine clerical, typographical or technical pricing error. If a material pricing error is identified before an order is accepted, Braintric may contact the customer and offer the option of proceeding at the correct price or cancelling the affected order.

8. Payment

The payment method and payment timing applicable to an order will be displayed at checkout, stated in the quotation or invoice, or otherwise communicated before the customer becomes bound to pay. Braintric may require payment authorisation or cleared funds before accepting or dispatching an order. If a payment is declined, reversed, disputed or otherwise fails, Braintric may suspend processing until the issue is resolved. Customers must not knowingly use an unauthorised or fraudulent payment method.

9. Product suitability and professional installation

Some products sold by Braintric require professional installation, commissioning, programming, testing or connection. A product that requires regulated electrical work must only be installed, altered, connected or commissioned by a person who holds the licence, certificate, authorisation and competency required for the relevant work and jurisdiction. In NSW, electrical wiring work requires an appropriate electrical licence or certificate. Official licensing information is available from the NSW Government electrical work page. Purchase of equipment does not itself include installation unless installation is expressly included in the accepted transaction.

10. Customer use of products

Customers must use products in accordance with manufacturer instructions, stated ratings, applicable safety requirements and the conditions for which the product was designed. To the extent permitted by law, Braintric is not responsible for loss or damage caused by misuse, unauthorised modification, incorrect installation by another person, operation outside specified limits or failure to follow applicable instructions, to the extent those matters caused or contributed to the loss. This clause does not affect rights arising from a defect or failure for which Braintric remains legally responsible.

11. Website accounts and security

If the website allows user accounts, the account holder is responsible for maintaining the confidentiality of login credentials and for activity carried out through the account where that activity was authorised by, or reasonably attributable to, the account holder. You must notify Braintric promptly if you become aware of unauthorised access or suspected compromise of an account associated with you. Braintric may suspend or restrict access where reasonably necessary to protect users, systems, transactions or legal rights.

12. Acceptable website use

Braintric may take reasonable technical or legal measures to protect the website and its users from misuse. You must not use the Braintric website to:

  • engage in unlawful, fraudulent, abusive or malicious activity;
  • impersonate another person or misrepresent authority;
  • introduce malware, malicious code or harmful content;
  • attempt to gain unauthorised access to systems, accounts or data;
  • interfere with website operation, security or availability;
  • systematically scrape, harvest or extract content in a manner that materially burdens our systems or infringes legal rights;
  • infringe intellectual property, privacy or other rights; or
  • submit false or misleading information in connection with a transaction.

13. Intellectual property

Unless otherwise stated, intellectual property rights in Braintric’s original website content are owned by or licensed to Braintric. This may include text, graphics, photographs, branding, logos, layouts, illustrations, videos, calculators, technical explanations and downloadable materials. You may view and use website content for lawful personal or internal-business purposes associated with evaluating or purchasing Braintric goods or services. Unless permitted by law or authorised by Braintric, you must not commercially reproduce, republish, sell, sublicense, systematically scrape or misleadingly alter substantial portions of our content. Third-party trademarks, product names, documentation and other intellectual property remain the property of their respective owners.

14. Third-party websites and services

The website may contain links to third-party websites or services for convenience or additional information. Braintric does not control third-party websites and does not guarantee their availability, accuracy, security, privacy practices or terms. Access to third-party services is at the user’s discretion and may be subject to separate terms imposed by the relevant provider.

15. Website availability and security

Braintric may update, maintain, suspend or modify website functionality from time to time. We do not guarantee that the website will be continuously available or free from interruption, delay or technical error. We take reasonable steps to maintain website security, but no internet service can be guaranteed to be free from malicious activity or technical vulnerabilities. Users are responsible for maintaining reasonable security on the devices and networks they use to access the website.

16. Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. To the maximum extent permitted by law, Braintric is not liable for indirect, special or consequential loss arising solely from website use or from matters outside Braintric’s legal responsibility. Any limitation in these Terms applies only to the extent permitted by applicable law and does not affect statutory rights that cannot be excluded. Users and customers should take reasonable steps to minimise avoidable loss after becoming aware of a problem.

17. Indemnity for misuse

To the extent permitted by law, you are responsible for loss suffered by Braintric that directly results from your unlawful use of the website, deliberate infringement of Braintric’s rights or fraudulent conduct. This clause does not require you to indemnify Braintric for loss caused by Braintric’s own negligence, breach of contract or unlawful conduct.

18. Changes to these Terms

Braintric may update these Terms for future website use or future transactions. The version applying to an accepted order is generally the version in effect when the order was accepted, unless the parties agree otherwise or a change is required by law. The current website version will display the most recent update date.

19. Severability

If any provision of these Terms is invalid, unlawful or unenforceable, it will be read down to the minimum extent necessary where possible. If it cannot be read down, the affected provision will be severed without invalidating the remaining provisions.

20. Governing law

These Terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts and tribunals having jurisdiction in New South Wales, subject to any mandatory legal right to bring a claim elsewhere.

21. Dispute resolution

If a dispute arises in connection with these Terms or an order, the parties should first attempt to resolve it in good faith through direct communication. A customer should provide enough information to identify the transaction and explain the issue. Braintric will review the matter and respond within a reasonable period. This process does not prevent a party from exercising a statutory right, seeking urgent relief, contacting a regulator or commencing proceedings where necessary to protect a legal right.
